Restructuring & special situations

Capital and conviction for businesses at an inflection point.

We work with owners of privately held companies that need to restructure. We look closely, tell you plainly what it will take, then put capital, financing, resources and leadership behind it.

How we work

A clear process, built around your situation.

  1. 01

    Assess & underwrite

We learn the business as it really is: cash flow, debt, operations, people and what the owner wants. Then we underwrite it to see what needs to be done, whether it can be done, and whether the numbers make sense.

  2. 02

    Structure

If there is a path forward, we design the plan and the deal around it. That can mean new capital, refinanced or restructured debt, operating changes, or a new ownership arrangement.

  3. 03

    Partner or acquire

Depending on the situation, we partner with the existing owners or take the business over. Either way, the terms are clear and agreed up front.

  4. 04

    Operate

We stay hands-on after closing, working inside the business alongside management to steady it, fix what is broken, and build it back to strength.

What we bring

Whatever it takes to put the business on solid ground.

Capital

Fresh capital for working capital, turnaround costs or a reset balance sheet, committed when the plan is sound.

Debt & financial restructuring

Refinancing, renegotiating with lenders and creditors, and rebuilding a capital structure the business can actually carry.

Operational resources

Hands-on help with cash management, cost structure, systems, vendors and the day-to-day work of running a tighter company.

Management

Experienced leadership where it is needed, from a steady hand at the top to the people who make the plan happen.

Who we work with

Owner-operated companies facing a hard moment.

We work across industries. If the fundamentals are there, the situation matters more than the sector. Owners come to us directly, and so do the attorneys, accountants, lenders and brokers who advise them.

  • Cash-flow strain

Revenue is there, but cash is tight and it is getting harder to make payroll, pay vendors or invest.

  • Debt pressure

Loans, advances or lender demands the business can no longer carry on its current terms.

  • Succession

An owner ready to step back, with no clear buyer or successor and a business worth protecting.

  • Stalled growth

A good company that has stopped moving forward and needs capital, structure or new leadership to restart.

Partnership models

Every situation is different. So is every structure.

These are the shapes our partnerships usually take. Each one is built individually, around the business and the people who built it.

Partner

Strategic partnership

We come in alongside the current owners with capital and resources to fix what is holding the business back. You remain an owner and keep building what you started.

Recapitalize

Majority recapitalization

We take a majority position and reset the balance sheet, then work side by side with the existing team to stabilize the company and grow it.

Acquire

Full acquisition

We acquire the business outright. Where it makes sense, the owner stays on in a salaried role, keeping their knowledge and relationships at the heart of the company.

How we behave

Straight answers

If the numbers do not work, we will tell you early and tell you why.

Discretion

Conversations with us stay confidential, from the first call onward.

Commitment

We put capital and effort to work beside you, and we stay for the hard part.

Confidential inquiry

Let’s talk about your business.

Tell us a little about the situation. Every inquiry is read personally and kept in confidence.
